About the team:

In partnership with the business, our innovative Legal Department drives the purpose and success of eBay and its buyers and sellers. The team includes eBay's global legal department, the corporate secretary function and public policy group.

About the role:

Our team is seeking an all-star attorney with securities compliance and transactional experience. This can be a remote position, and candidates throughout the US will be considered, with a view to the job eventually being based in the Mountain or Pacific time zone. The ideal candidate will be a pragmatic, industrious, self-starter, with a strong desire to grow and build an in-house corporate and securities legal career. This role will report to our Associate General Counsel, Corporate Governance and Securities and will work closely with our General Counsel and Deputy General Counsel. Starting as an individual contributor, there is a path to increased scope and management responsibility over time. This attorney will have a full view of our corporate legal function, with exposure to leaders in the following areas outside of legal: Accounting, Finance, Treasury, Communications, Investor Relations, Tax, Corporate Development and Total Rewards.

This role’s accountabilities include:

  • Handling SEC reporting and compliance matters (including legal review of periodic reports, earnings releases and Section 16 filings)
  • Supporting corporate governance and corporate secretary (including preparation for board and committee meetings, drafting meeting minutes and ownership of the annual proxy statement and stockholder meeting)
  • Driving treasury matters, including capital markets transactions, stock repurchases, hedging programs and intracompany transactions
  • Supporting executive compensation matters, including preparation of CD&A
  • Reviewing SEC rules, as well as other relevant professional resources, on a regular basis to keep up with corporate governance trends

Job Requirements:

  • JD degree with strong academic credentials
  • 7+ years in securities law (’33 and ’34 Act), SEC reporting matters and corporate governance experience (2+ years in-house at a publicly traded company preferred)
  • Exposure to strategic transactions, especially drafting!
  • Excellent interpersonal, written and oral communications skills
  • Agility and flexibility, combined with strong analytical and problem-solving skills – and the resiliency to manage through ambiguity and thrive in matrixed, dynamic, fast-paced and remote environments
  • Ability to work collaboratively and effectively with business clients
  • Team oriented with ability to exhibit eBay’s cultural values, sense of humor, unquestioned ethics and integrity and good judgment
  • Self-motivated, self-directed and well organized—proactive! Ready to hit the ground running and take ownership of job responsibilities
  • Attention to detail and strong project management skills

Additional Desirable Experience:

  • Hands-on experience leading the development of proxy statements at a large-cap public company
  • Several years of experience at a leading corporate and securities law firm
  • Working knowledge of employee benefits and ERISA
  • Demonstrated success working in a remote or hybrid position
