About the team:

In partnership with the business, our innovative and award-winning Legal Department drives the purpose and success of eBay and its buyers and sellers. The team includes eBay's global legal department, the corporate secretary function and public policy group.

About the role:

Our team is seeking an all star with securities compliance and transactional experience. The ideal candidate will be practical and pragmatic, with a strong desire to grow and build an in-house career as a part of eBay's elite corporate legal team. This role will report to our Senior Director, Corporate Law and will work closely with our General Counsel and Deputy General Counsel. Starting as an individual contributor, there is a path to increased scope and management responsibility over time. This attorney will have a full view of our corporate legal function, with exposure to leaders in the following areas outside of legal: Accounting, Finance, Treasury, Communications, Investor Relations, Tax, Corporate Development and Total Rewards.

This role’s accountabilities include:

  • Handling SEC reporting and compliance matters (including periodic reports, earnings releases and Section 16 filings)

  • Supporting corporate governance and corporate secretary (including preparation for board and committee meetings, proxy statements and stockholder meetings).

  • Driving treasury matters, including capital markets transactions, stock repurchases, hedging programs and intracompany transactions.

  • Depending on need, stepping up on strategic transactions and executive compensation.

  • Reviewing SEC rules, as well as other relevant professional resources, on a regular basis to keep up with corporate governance trends.

Job Requirements:

  • JD degree with strong academic credentials.

  • 7+ years in securities law (’33 and ’34 Act), SEC reporting matters and corporate governance (associates at top firms with less experience may be considered)

  • Exposure to strategic transactions, especially drafting!

  • Excellent interpersonal, written and oral communications skills.

  • Agility and flexibility, combined with strong analytical and problem-solving skills.

  • Ability to work collaboratively and effectively with business clients.

  • Team oriented with ability to exhibit eBay’s cultural values, a strong sense of humor, unquestioned ethics and integrity and good judgment.

  • Self-motivated, self-directed and well organized—proactive!

  • Attention to detail and strong project management skills
