About the team:

In partnership with the business, our innovative and award-winning Legal Department drives the purpose and success of eBay and its buyers and sellers. The team includes eBay's global legal department, the corporate secretary function and public policy group.

About the role:

eBay seeks a highly motivated and business-savvy attorney to join the eBay legal team and serve as Senior Counsel, Legal, Global M&A. Candidates throughout the US will be considered, with a view to the job eventually being based near San Jose, California; Austin, Texas; Atlanta, Georgia; or Salt Lake City, Utah. This position will provide legal support on strategic M&A and corporate transactions globally, including acquisitions, JVs and equity investments, from pipeline and planning stages through and including integration. This position may also be called upon to handle corporate securities and SEC reporting and compliance matters, corporate finance matters and corporate governance matters on an as needed basis.

The ideal candidate will be practical and pragmatic, with a strong desire to grow and build an in-house career as a part of eBay's elite corporate legal team. This role will report to our Senior Director, Legal, Global M&A and will work closely with our General Counsel and Deputy General Counsel. Starting as an individual contributor, there is a path to increased scope and management responsibility over time. This attorney will have a full view of our corporate legal function, with exposure to leaders in the following areas outside of legal: Corporate Development, Accounting, Finance, Treasury, Communications, Investor Relations, Tax, and Human Resources.

This role’s accountabilities include:

  • Structure, draft and negotiate complex transaction agreements, and lead global multi-functional teams.
  • Manage internal and external deal processes and drive continuous improvements and scalability in deal processes and execution.
  • Advise senior management and business clients on complex matters.
  • Actively manage internal resources, outside counsel and budget.
  • Manage global subsidiary governance matters.

Job Requirements:

  • JD degree with strong academic credentials.
  • 7+ years experience in M&A transactions (with a comprehensive understanding of M&A structures, agreements and business and legal issues in both domestic and cross-border M&A transactions).
  • A high level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills.
  • Flexibility and creativity in dealing with complex legal issues on a domestic and cross-border basis.
  • Excellent interpersonal, written and oral communications skills.
  • Well-organized and hard-working, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
  • Team oriented with ability to exhibit eBay’s cultural values, a strong sense of humor, unquestioned ethics and integrity and good judgment.
  • Self-motivated, self-directed and well organized—proactive!
  • Attention to detail and strong project management skills
  • Prior experience in securities law matters, corporate finance matters, and corporate governance issues also a plus.
